Terms of Service
Effective June 4, 2026
These Terms of Service (“Terms”) govern your use of Throwdown (the “Service”), operated by Oval Innovations LLC (“we”, “us”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. You must sign in with a valid Twitch account and provide accurate information. You are responsible for activity under your account.
2. What Throwdown is
Throwdown is a marketplace that lets viewers (“Funders”) propose and fund challenges for streamers (“Streamers”) to attempt on their streams. A Funder pays a stated amount to propose a challenge; that amount is held by our payment processor; the Streamer may accept and attempt it; upon completion (subject to the dispute process below) the amount, less our fee, is paid to the Streamer.
A Funder is paying for a Streamer’s attempt and performance — not placing a bet or wager, and not purchasing a chance to win money or anything of value. Throwdown is not a game of chance, lottery, or gambling service. We are not a party to the agreement between a Funder and a Streamer; we provide the platform and payment-handling that facilitate it.
3. Payments, fees, and escrow
- Payments are processed by Stripe. By using the Service you agree to Stripe’s applicable terms. We do not store full payment-card details.
- When a challenge is funded, the amount is captured and held pending the outcome. We charge a platform fee (currently 15% of the challenge amount), disclosed at the time of funding.
- Streamers receive payouts through Stripe Connect and must complete Stripe’s onboarding and identity verification (KYC) to receive funds. Streamers are responsible for their own taxes.
- Currency, amounts, and minimums/maximums are shown in the interface and may change.
4. Completion, disputes, and refunds
- When a Streamer marks a challenge complete, the Funder has a defined window (shown in the app) to dispute it.
- If no dispute is raised within the window, the payout is released to the Streamer.
- If a Funder disputes, the challenge is held for review and resolved by us in our reasonable discretion as either a payout to the Streamer or a refund to the Funder. Our determination is final.
- Declined, expired, and certain disputed challenges are refunded to the Funder.
5. Chargebacks
Initiating a card chargeback instead of using the dispute process is a breach of these Terms. Where a Streamer has already been paid for a challenge that is later charged back, we may reverse and recover the corresponding payout from the Streamer’s balance. We may suspend accounts associated with abusive chargebacks.
6. Acceptable use and prohibited challenges
You agree not to propose, accept, or perform any challenge that is:
- illegal, or that promotes or facilitates illegal activity;
- dangerous to the health or safety of any person, or that encourages self-harm;
- sexual, hateful, harassing, discriminatory, or threatening;
- infringing of intellectual-property or privacy rights, or in violation of Twitch’s or any other platform’s rules.
We may refuse, remove, or refund any challenge, and suspend or terminate any account, at our discretion.
7. No guarantee; “as is”
The Service is provided “as is” without warranties of any kind. We do not guarantee that any Streamer will accept or complete any challenge, or that the Service will be uninterrupted or error-free.
8. Limitation of liability
To the maximum extent permitted by law, Oval Innovations LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues. Our total liability for any claim relating to the Service will not exceed the greater of the fees we earned on the transaction(s) at issue or US $100.
9. Indemnification
You agree to indemnify and hold harmless Oval Innovations LLC from any claims or damages arising out of your use of the Service, your challenges, or your breach of these Terms.
10. Termination
We may suspend or terminate your access at any time, including for breach of these Terms. You may stop using the Service at any time.
11. Not affiliated with Twitch
Throwdown is an independent service and is not endorsed by or affiliated with Twitch Interactive, Inc. or Amazon.
12. Changes
We may update these Terms; material changes will be reflected by the effective date above. Continued use after changes constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws principles.
